1. Agreement to Terms

By accessing or using MotoRev ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all users of the app, including without limitation users who are browsers, riders, contributors of content, and Pro subscribers.

2. Use License

MotoRev grants you a limited, non-exclusive, non-transferable, revocable license to use the application for personal, non-commercial purposes, subject to these Terms.

You may:

• Download and use the App on devices you own or control
• Access and use all features available to your subscription tier
• Share content you create within the app

You may not:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Sell, rent, lease, or sublicense the App
• Use the App for any illegal or unauthorized purpose
• Violate any applicable laws in your jurisdiction

3. Account Registration

To use MotoRev, you must:

• Be at least 16 years of age
• Provide accurate, current, and complete registration information
• Maintain the security of your password and account
• Promptly update your account information if it changes
• Accept responsibility for all activities under your account

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. User Content

4.1 Your Content

You retain ownership of content you create and share through MotoRev ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content.

4.2 Content Standards

User Content must not:

• Violate any applicable law or regulation
• Infringe any third-party rights
• Contain viruses or malicious code
• Be fraudulent, deceptive, or misleading
• Be obscene, offensive, or promote violence
• Harass, abuse, or harm another person
• Promote dangerous riding behaviors

4.3 Content Moderation

We reserve the right to review, screen, delete, or edit User Content at our sole discretion. We are not responsible for User Content posted by others.

5. Safety Features and Disclaimers

5.1 Crash Detection

The crash detection feature uses device sensors to detect potential accidents. This feature:

• May not detect all crashes or incidents
• May trigger false positives
• Requires active cellular/data connection to send alerts
• Should not replace proper emergency services (911)

5.2 Navigation and Routes

Navigation features are provided for informational purposes only. You acknowledge that:

• Routes may contain errors or be outdated
• Road conditions can change rapidly
• You are responsible for obeying all traffic laws
• You should never operate the app while riding

6. Subscription and Payments

6.1 Free Tier

MotoRev offers a free tier with basic features supported by advertising revenue. Free tier limitations and characteristics include:

• Limited ride history (90 days)
• Maximum 3 bikes in garage
• Basic analytics and statistics
• Standard map features
• Advertisements: Native ads appear in your social feed approximately every 5 posts
• Ad Targeting: Your riding profile and bike data may be used for targeted advertising (see Privacy Policy)

By using the free tier, you agree to view advertisements and consent to the collection and sharing of data for advertising purposes as described in our Privacy Policy.

6.2 MotoRev Pro

Pro subscription is available for $3.99/week, $9.99/month, or $99.99/year. Pro features include:

• Completely Ad-Free Experience: No advertisements of any kind
• Privacy Protection: Your riding data is NOT shared with advertisers or ad networks
• Moto AI Assistant: AI-powered ride assistance, diagnostics, and maintenance tips
• Voice Commands: "Hey Moto" hands-free control while riding
• Crash Detection: Advanced crash detection with emergency alerts and automatic notification
• Black Box Recording: Automatically saves last 30 seconds of ride telemetry for incident review
• Safety Analytics: Track your safety trends over time with detailed charts and insights
• Up to 3 Garages: Create and manage multiple garages for your bikes
• Smart Mileage Tracking: Automatic mileage updates using real ride data and intelligent estimation
• AI Maintenance Tips: Personalized maintenance schedule recommendations
• Wind Chill + Gear: Weather alerts with personalized gear recommendations
• Roadside Assistance: Find nearby motorcycle towing services instantly
• Read Receipts: See when your messages are read with full privacy control
• Pro Badge: Verified Pro status displayed on your profile
• Extended Bio: Express yourself with up to 500 characters (vs 150 free)

6.3 Payment Terms

• Subscriptions auto-renew unless cancelled
• Payment processed through Apple App Store
• Refunds subject to Apple's refund policy
• Price changes will be notified 30 days in advance
• Beta users receive 3 months Pro free

7. AI Features Disclaimer

7.1 MotoAI Assistant and Maintenance Recommendations

The MotoAI assistant uses large language models to provide conversational assistance and maintenance suggestions. AI responses may contain errors, inaccuracies, or outdated information. AI cannot replace a qualified mechanic, and recommendations should be verified against your motorcycle's owner manual and a certified professional. MotoRev is not responsible for mechanical failures or decisions made based on AI output.

7.2 Voice Commands ("Hey Moto")

Voice recognition accuracy varies by environment and conditions. Commands may be misinterpreted in noisy settings. Always pull over safely before extended voice interactions. Audio is processed by third-party services as described in our Privacy Policy.

7.3 Navigation, Route Suggestions, and Hazard Detection

AI-powered navigation and hazard features are informational aids. Route suggestions may not reflect current road closures, construction, or hazards. AI cannot assess your skill level or your motorcycle's condition. Hazard detection may miss hazards or produce false positives. You are solely responsible for route decisions and attentive riding at all times.

7.4 Safety Analytics and Telemetry

Safety scores are statistical estimates based on your recorded ride data. A positive score does not indicate that riding is safe or that an accident cannot occur. Telemetry recording (black box) depends on device functionality and may fail due to battery, storage, or connectivity issues. Recorded data may be subpoenaed or requested by law enforcement. Do not rely on black box data as sole evidence in any proceeding.

7.5 No Warranty on AI Features

AI FEATURES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTOREV DISCLAIMS ALL LIABILITY FOR DAMAGES ARISING FROM USE OF OR RELIANCE ON AI FEATURES. Third-party AI providers (such as OpenAI or Google) may process your queries; their own terms and availability apply.

8. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of MotoRev and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without our prior written permission.

9. Privacy and Data Use

Your use of MotoRev is also governed by our Privacy Policy. By using the App, you consent to:

• Collection and use of location data for app functionality
• Storage of ride data and statistics
• Sharing of emergency information with designated contacts
• Advertising data collection and sharing (free tier only): Bike information, riding profile, and usage data shared with Google AdMob for targeted advertising
• Analytics to improve our services

10. Prohibited Uses

You may not use MotoRev:

• For any unlawful purpose
• To solicit dangerous or illegal riding behaviors
• To impersonate others or misrepresent affiliation
• To upload viruses or malicious code
• To spam, phish, or harvest user information
• To interfere with the App's operation
• To bypass any security measures
• To scrape or copy content without permission
• While operating a motorcycle (pull over safely first)

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of information
• Uninterrupted or error-free operation

We do not warrant that the App will meet your requirements or that defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTOREV SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, use, or goodwill
• Personal injury or property damage related to your use of the App
• Failure of safety features to function as expected
• Actions of other users

Our total liability for any claim arising from these Terms or your use of the App shall not exceed the greater of (a) the total subscription fees paid by you in the 12 months preceding the claim, or (b) $50 USD for free-tier users with no paid subscription history.

13. Indemnification

You agree to defend, indemnify, and hold harmless MotoRev, its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Your riding activities

14. Termination

We may terminate or suspend your account immediately, without prior notice, for:

• Breach of these Terms
• Illegal or harmful activities
• At our sole discretion for any reason

Upon termination:

• Your right to use the App ceases immediately
• We may delete your account and data
• Paid subscriptions are non-refundable

15. Dispute Resolution

15.1 Good Faith Negotiation

Before initiating arbitration, the party raising a dispute must provide written notice describing the issue in reasonable detail. If the dispute is not resolved within 30 days of that notice (or such longer period as both parties agree to in writing), either party may proceed to binding arbitration.

15.2 Arbitration Agreement

Any dispute not resolved through negotiation shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, with proceedings held in Florida. The arbitrator's decision shall be final and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

You waive any right to bring claims as a plaintiff or class member in any purported class or representative proceeding.

15.4 Governing Law

These Terms shall be governed by the laws of the State of Florida, United States, without regard to conflict of law provisions.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via in-app notification, email, or update notice on app launch. Continued use after changes constitutes acceptance of the modified Terms.

For changes that materially affect Pro subscription pricing or billing terms, we will provide at least 14 days advance notice before the change takes effect. Continued use of a Pro subscription after that notice period constitutes acceptance.

17. Active Development

17.1 App Status

MotoRev is under active development. Features may be added, modified, or removed. Bugs and unexpected behavior may occur. Performance varies by device, iOS version, and network conditions. Features marked as "Beta," "New," or "Experimental" are provided with even less warranty than the standard app.

17.2 Feedback and Bug Reports

We build better when we hear from our users. If you encounter a bug or issue, you can report it via Profile > "Report a Bug." Feature requests and general feedback are welcome through the same menu. Allowing iOS to send crash reports also helps us diagnose and fix issues faster. Your input directly shapes development priorities — we appreciate it.

17.3 Beta Testing Programs

If you participate in TestFlight beta testing:

• Beta features may be more unstable than the App Store release
• Data may be reset without notice during beta periods
• You agree to maintain confidentiality of unreleased features
• Beta-specific benefits may end when features reach the App Store

18. Music Integration Services

18.1 No Music Hosting or Streaming

MotoRev does NOT host, store, cache, or directly stream any copyrighted music content. All music playback occurs through the official APIs and applications of third-party music services. MotoRev acts solely as an interface controller and does not handle audio data.

18.2 Apple Music Integration

MotoRev's Apple Music integration uses Apple's official MusicKit framework. When you use Apple Music through MotoRev:

• Authentication: You authenticate directly with Apple using your Apple ID
• Subscription Required: An active Apple Music subscription is required for full catalog playback
• Streaming: All audio streams directly from Apple's servers to your device through MusicKit
• Playback Control: MotoRev sends playback commands (play, pause, skip) through the official MusicKit API
• No Audio Interception: MotoRev does not intercept, decode, cache, or redistribute audio streams
• Compliance: This integration fully complies with Apple's MusicKit Terms of Service

18.3 External Music Apps

For music services without integrated SDK support (Spotify, YouTube Music, Amazon Music, Tidal, Pandora, Deezer, SoundCloud), MotoRev offers "external app" mode:

• App Launch Only: MotoRev simply opens the external app using standard iOS URL schemes
• No Control: Once the external app opens, all playback control is within that app - MotoRev cannot control playback
• No Data Access: MotoRev does not access, read, or intercept any data from external music apps
• User Choice: Users select their preferred music app in settings for quick access

18.4 Group Music Sync (Pro Feature)

MotoRev Pro includes a Group Music Sync feature for group rides. This feature operates as follows:

• Metadata Only: Only playback metadata is synchronized between riders (track identifier, timestamp, play/pause state)
• No Audio Transmission: MotoRev does NOT transmit, relay, or rebroadcast any audio content between users
• Individual Subscriptions: Each user must have their own active subscription to the music service being used
• ISRC Matching: For cross-service compatibility, International Standard Recording Codes (ISRC) may be used to identify the same track across different platforms
• Ride Leader Control: The group ride leader controls playback; followers' local players sync to the same position
• Legal Compliance: This approach is similar to sharing a song title with friends - each person plays the track using their own subscription

18.5 What MotoRev Stores

MotoRev stores the following music-related data:

• Playlist Metadata: Playlist names, track titles, artist names, album names, and cover art URLs (not the images themselves)
• Track Identifiers: Service-specific track IDs, ISRC codes, and video IDs for reference purposes
• User Preferences: Selected music platform, volume settings, and connection status
• Listening History (Optional): Play counts and timestamps for ride statistics

MotoRev does NOT store: Audio files, audio streams, decrypted content, or any copyrighted audio data.

18.6 Third-Party Service Terms

Your use of music services through MotoRev is also governed by the respective service's terms:

• Apple Media Services Terms and Conditions
• Spotify Terms of Service (when applicable)
• YouTube Terms of Service (when applicable)
• Other music services' respective terms as applicable

MotoRev is not affiliated with, endorsed by, or sponsored by any of these music services unless explicitly stated.

18.7 Future Integrations

MotoRev may add official SDK integrations for additional music services in the future. When we do:

• We will use only official, approved APIs and SDKs
• We will comply with each service's developer terms and guidelines
• Users will authenticate directly with each service
• All streaming will occur through official service infrastructure

19. Affiliate Program & 47 Industries Integration

19.1 About 47 Industries

MotoRev is developed and operated by 47 Industries. You may optionally connect your MotoRev account to a 47 Industries account to access additional features and participate in our affiliate program.

19.2 Account Linking

When you connect your MotoRev account to 47 Industries:

• Your basic profile information (username, email) is shared between platforms
• You receive a unique referral code (MR-XXXXXX format)
• You can view affiliate statistics within the MotoRev app
• You can earn points for referring new users
• Account linking is optional and can be disconnected at any time

19.3 Points-Based Referral Program

MotoRev users with linked 47 Industries accounts can participate in our points-based referral program:

• Referral Codes: Share your unique code (MR-XXXXXX) with friends
• Signup Points: Earn 1 point when someone you refer creates a MotoRev account
• Pro Conversion Points: Earn 10 points when someone you refer upgrades to MotoRev Pro (any plan)

19.4 Points Redemption

Points are automatically redeemed for MotoRev Pro subscription time:

• Redemption Rate: 10 points = 7 days of MotoRev Pro
• Automatic Redemption: When you accumulate 10 or more points, Pro time is automatically granted to your account
• Stacking: Earned Pro time stacks with any existing subscription or Pro time you have
• No Expiration: Points do not expire as long as your account remains active
• Non-Transferable: Points cannot be transferred to other users or converted to cash (unless you are a Partner)

19.5 Partner Program (Invite-Only)

Top-performing affiliates may be invited to join the 47 Industries Partner Program:

• Eligibility: Affiliates with 25 or more total referrals may apply
• Cash Payouts: Partners can receive affiliate earnings as cash instead of points
• Higher Rates: Partners receive enhanced commission rates
• Partner Portal: Access to the Partner Portal on 47industries.com with detailed analytics
• Priority Support: Dedicated support for partner-related inquiries

Partner status is granted at the sole discretion of 47 Industries and may be revoked for any violation of program terms.

19.6 Affiliate Program Rules

Participation in the affiliate program requires compliance with these rules:

• No self-referrals or creating fake accounts to earn points
• No spam, misleading advertising, or deceptive practices
• No paid advertising using MotoRev trademarks without written permission
• Referral codes must be shared in good faith
• Referrals must be genuine users who intend to use the app

19.7 Fraud and Clawback

If MotoRev or 47 Industries determines, at any time, that points or commissions were earned through fraudulent activity, manipulation of the referral system, or any violation of these terms, we reserve the right to:

• Withhold any pending unredeemed points or unpaid commissions
• Permanently terminate participation in the affiliate or Partner program
• Recover previously paid cash commissions by deducting from future earnings or, where no future earnings exist, by invoicing the participant directly
• Pursue legal remedies for material fraud

This clawback right applies regardless of when the fraud is discovered and survives termination of your account. Determinations are based on referral logs, account activity, conversion records, and payment history available in our systems. You may contest a determination by submitting written evidence to [email protected] within 14 days of notification.

19.9 Program Changes

47 Industries reserves the right to modify point earning rates, redemption values, eligibility requirements, and program rules at any time. Material changes will be communicated via email or in-app notification and will not affect points already earned on completed referrals at the time of the change. Continued participation after changes constitutes acceptance of the modified terms.

20. Third-Party Services

MotoRev may contain links to third-party services not owned or controlled by us. We assume no responsibility for:

• Content or practices of third-party services
• Your interactions with third-party services
• Products or services offered by third parties

21. Severability

If any provision of these Terms is held unenforceable, the remaining provisions shall continue in full force and effect.

22. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MotoRev regarding the use of the App.
